The "Be A Duchess For A Day" Sweepstakes is intended for participation only in the United States and Canada (excluding Quebec) and shall be construed according to, and governed exclusively by, United States law. Do not participate in the Sweepstakes if you are not a legal resident of the United States or Canada (excluding Quebec) physically located in the United States or Canada at the time of entry, or do not fall within the eligibility requirements set forth in the Official Rules below. The “Be A Duchess For A Day” Sweepstakes NO PURCHASE NECESSARY TO ENTER OR WIN PROMOTION DESCRIPTION: The “Be A Duchess For A Day” Sweepstakes (the “Sweepstakes”) begins at 12:01 a.m. Eastern Time (“ET”) on August 16, 2008, and ends at 11:59 p.m. ET on September 30, 2008 (the “Promotion Period”). The Sweepstakes offers winners the chance to "Be A Duchess For A Day", as more fully set forth below. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Paramount Vantage, 5555 Melrose Avenue, Hollywood, CA 90038-3197, (“Sponsor”), which shall be final and binding in all respects. ELIGIBILITY: This Sweepstakes is open only to individuals who are (i) legal residents of the fifty (50) United States (and the District of Columbia) or Canada (excluding Quebec), located in the United States or Canada at the time of entry and (ii) age eighteen (18) or older at the time of entry. Sponsor, Paramount Pictures Corporation, Borders, Inc., VisitBritain, and each of their respective parent, divisions, subsidiaries, licensors, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (collectively, the “Promotion Entities”), as well as the immediate family members and/or those persons living in the same households of such employees, officers and directors are not eligible to enter the Sweepstakes or win a prize. This Sweepstakes is void in Quebec and where prohibited. HOW TO ENTER: To enter the Sweepstakes, visit the web site www.theduchessmovie.com/sweepstakes (the “Website”), complete the entry form with the information requested, and click “Submit Entry”. All requested information on the entry form at the Website must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the Website is not considered proof of delivery to or receipt by Sponsor of such entry. Limit one (1) entry per person and/or email address. The Website’s database clock will be the official time keeper for online entries in this Sweepstakes. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. No mechanically reproduced, illegible, or incomplete, entries will be accepted. The use of any device to automate the entry process is prohibited. NOTE: Entry must be made by the entrant, and only at the Website. Entries made by any other individual or any entity, and/or originating at any other website or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for this Sweepstakes. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website. Except as otherwise stated in these Official Rules, personal information collected in connection with this Sweepstakes will be used in accordance with the Sponsor's privacy policy found at http://www.paramount.com/paramount.php. WINNER SELECTION: At the end of the Promotion Period, Sponsor or its designee will conduct a drawing from among all eligible entries received, using randomization methods selected by Sponsor in it sole discretion. The potential Grand Prize winner will be notified by telephone, e-mail, and/or mail using the contact information provided at the time of entry. In addition, if Sponsor elects, the announcement also will be posted online at the Website. Promotion Entities shall have no liability for any winner notification that is lost, intercepted or not received by the potential Grand Prize winner for any reason. If any potential Grand Prize winner does not respond within seventy-two (72) hours of the first notification attempt, or if the Grand Prize is declined or a notification is returned as unclaimed or undeliverable to any potential Grand Prize winner, such potential Grand Prize winner will forfeit his or her Grand Prize and an alternate Grand Prize winner may be selected. If any potential Grand Prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a Grand Prize for any reason prior to award, such potential Grand Prize winner will be disqualified and an alternate Grand Prize winner may be selected. Sponsor may successively attempt to contact up to three (3) potential winners of the Grand Prize in accordance with such procedure, and if there is still no confirmed winner of the Grand Prize after such attempts have been made, the applicable Grand Prize may go unawarded. PUBLICITY RELEASE: By participating in the Sweepstakes, in addition to any other grants which may be granted in any other agreement entered into between Sponsor and any entrant in and/or winner of the Sweepstakes, each entrant irrevocably grants the Promotion Entities and their respective successors, assigns and licensees, the right to use such entrant’s name, likeness, and biographical information, and any other personal characteristics, in any and all media on a worldwide basis, for any purpose, in perpetuity, including without limitation, advertising and promotional purposes as well as in, on or in connection with the Website or the Sweepstakes or other promotions, and each entrant and/or Grand Prize winner hereby releases the Promotion Entities from any liability with respect thereto. PRIZE: One (1) Grand Prize is available. The Grand Prize consists of a five (5) day/ four (4) night trip to England for winner and one (1) guest, which includes, (i) roundtrip economy class airfare for two (2) from the major U.S. or Canada gateway airport nearest the winner’s hometown to a London area airport. Airline tickets are subject to availability and blackout dates. A thirty (30) day advance notice is required. Winner and guest must depart from same airport and return to that airport; (ii) four (4) consecutive nights hotel accommodations (single standard room, double occupancy), at a hotel in the East Midlands, England. (iii) a tour of Chatsworth House, one of the key locations in the film, The Duchess; (iv) afternoon tea for two in the East Midlands; (v) two (2) 50-minute spa treatments at spa in East Midlands. The approximate retail value (“ARV”) of the Grand Prize is $4950.00. The Grand Prize winner’s travel companion must be eighteen (18) years of age or older. The Grand Prize winner and his or her guest must travel together on the same itinerary and possess all required travel documents, including visas and valid passports, if and as applicable, and comply with any applicable hotel check-in requirements, such as presentation of a major credit card. All aspects of the travel portion of the Grand Prize must be conducted between November 1, 2008 and October 31, 2009. Certain restrictions and blackout dates may apply. Travel must be booked a minimum of thirty (30) days prior to anticipated travel date. Prizes are not transferable and no substitutions or cash equivalents are permitted. Travel dates may be subject to blackout periods and other restrictions. If the prize is not claimed within the specified time limit the prize will be forfeited. Federal taxes, local state taxes, airports departure taxes, V.A.T. taxes, and any other fees or costs connected with the prize will be the sole responsibility of the prizewinner. Entrants waive the right to claim as a cost of winning any prize, any and all costs or expenses associated with redemption or travel to redeem. Approximate Retail Value of each prize package varies. Value may vary depending upon the actual cost of air transportation from point of departure, and other variables. Travel subject to all applicable travel restrictions as outlined in prize winner notification letter, availability of lodging at time of booking, blackout dates, fare restrictions, availability of services offered and other criteria. A 30-day advance notice is required. All expenses not expressly stated in the package description, including but not limited to, meals, ground transportation, passport and visa fees, security fees, taxes, insurance, gasoline or otherwise are the responsibility solely of winner. Travel companion must travel on same itinerary and at the same time as the winner. Travel restrictions, conditions and limitations may apply. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Winner is responsible for all taxes surcharges and fees associated with prize receipt and/or use. Prizes are non-transferable. No prize substitution or cash redemption allowed by winners. Sponsors reserve the right to substitute prize of equal or greater value if advertised prize becomes unavailable. All travel must be completed by October 31, 2009. Travel must originate and end from a major city airport in the U.S. or Canada near the winner’s home. Blackout travel dates include, but are not limited to: December 15, 2008 – January 3, 2009 and June 1, 2009 – September 5, 2009. Travel is subject to capacity controls, availability, blackout dates and certain other restrictions, which may include a Saturday night stay, all of which are subject to change. If winner is unable to travel by date indicated, prize will be forfeited. Winner's guest must be 18 years of age or older if not a member of winner's immediate family and will be required to execute and return a liability/publicity release (which must also be signed by such guest's parent or legal guardian, if minor) prior to travel. Winner and guest must travel together on the same itinerary including the same departure date, destination and return date. No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate and full fare will be charged from the stopover point for the remaining trip segments, including the return. Prize sponsors are not liable for expenses incurred due to flight cancellations or flight delays. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by prize sponsor. GENERAL PRIZE CONDITIONS: The Grand Prize winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable Grand Prize. The potential Grand Prize winner will be required to execute an Affidavit of Eligibility, Liability Release, and Publicity Releases (where legal) (collectively, “Prize Claim Documents”). The Liability Release that the potential Grand Prize winner is required to sign will provide, without limitation, that the Promotion Entities will be held harmless from and against any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to the Grand Prize winner’s participation in the Grand Prize activities. If a Grand Prize winner is under the age of majority in such Grand Prize winner’s state or province of residence (a “minor”), at Sponsor’s option, the applicable Grand Prize either will be awarded in the name of the parent or legal guardian of such minor Grand Prize winner, or the parent or legal guardian of such minor Grand Prize winner will be required to ratify and sign Prize Claim Documents. If a Grand Prize winner (or, in the case of a minor, such minor Grand Prize winner’s parent or legal guardian) fails or refuses to sign and return all Prize Claim Documents within the time specified by Sponsor during the potential Grand Prize winner notification process, the potential Grand Prize winner may be disqualified and an alternate Grand Prize winner may be selected. The travel companion of the Grand Prize winner will also be required to execute applicable Prize Claim Documents prior to ticketing of the travel prize. GENERAL LIABILITY RELEASE/FORCE MAJEURE: Entrants (or if minors, their parents or legal guardians) agree that the Promotion Entities (a) shall not be responsible or liable for any losses, damages or injuries of any kind (including death) resulting from participation in the Sweepstakes or any Sweepstakes-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of the prize(s), and (b) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to the prize(s), including, without limitation, to such prize’s quality or fitness for a particular purpose. Promotion Entities assume no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Website or participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Promotion Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due entries or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event an insufficient number of eligible entries are received or Sponsor is prevented from awarding prize(s) or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated for Force Majeure before the designated end date, Sponsor will (if possible) select the winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS. ARBITRATION PROVISION. By participating in this Sweepstakes, each entrant agrees that any and all disputes the entrant may have with, or claims entrant may have against, the Promotion Entities relating to, arising out of or connected in any way with (i) the Sweepstakes, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the “Forum”) and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure, or at such other location as may be mutually agreed by the participant and Sponsor. The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Sweepstakes. There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the participant’s and/or Sponsor’s individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator shall not have the power to award punitive damages against the participant or Sponsor. If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.
